Non-Disclosure Agreement

Non-Disclosure Agreement (NDA)
This Non-Disclosure Agreement ("Agreement") is entered into as of the date signed below, between Hotelier Indonesia ("Disclosing Party") and the undersigned individual or entity ("Receiving Party").
1. Purpose
The Disclosing Party wishes to disclose certain confidential and proprietary information relating to its business operations, financial data, investment opportunities, hotel assets, and strategic plans (collectively, "Confidential Information") to the Receiving Party for the sole purpose of evaluating a potential investment or business relationship.
2. Definition of Confidential Information
"Confidential Information" includes, but is not limited to, financial statements, projections, asset valuations, business strategies, investor materials, proprietary data, trade secrets, and any other non-public information disclosed by the Disclosing Party.
3. Obligations of the Receiving Party
The Receiving Party agrees to:
- Hold all Confidential Information in strict confidence;
- Not disclose Confidential Information to any third party without prior written consent;
- Use the Confidential Information solely for the purpose of evaluating a potential investment;
- Protect the Confidential Information with the same degree of care used to protect its own confidential information, but no less than reasonable care.
4. Exclusions
This Agreement does not apply to information that: (a) is or becomes publicly available through no breach of this Agreement; (b) was already known to the Receiving Party prior to disclosure; (c) is independently developed by the Receiving Party without use of the Confidential Information.
5. Term
This Agreement shall remain in effect for a period of three (3) years from the date of signing, unless terminated earlier by mutual written agreement.
6. Return of Information
Upon request, the Receiving Party shall promptly return or destroy all Confidential Information and any copies thereof.
7. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the Republic of Indonesia.
8. Entire Agreement
This Agreement constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior discussions and agreements.
